St. John Real Estate Consultant, Inc. a New York corporation, is the Project Company. The Project Company was formed on February 21, 2013, to develop, construct, operate and own a 168-room hotel located at 38-65 11th Street, Long Island City, New York in the County and Borough of Queens (“the LIC Hotel Project”). The Project Company's principal office is located at 769 57th Street, 2F, Brooklyn, New York, 11220. The Project Company owns the property on which the LIC Hotel Project will be developed.

Eastone 3865 11th Street Holdings LLC, a New York limited liability company, is the developer of the LIC Hotel Project (the “Developer”).  The Developer owns 90% of the Project Company. The Developer’s principal office is located at 1979 Marcus Avenue, Suite 218, Lake Success, NY 11042.

Anticipated Proceeds 预期收益

The proceeds of the Offering will be loaned to the Project Company to develop the LIC Hotel Project at 38-65 11th Street in Long Island City, New York. Proceeds will not be used for the repayment of any other indebtedness of our Company (except the debts resulting from the Notes), the redemption of any outstanding securities of our Company or in order to make any distribution or dividend to holders of the equity securities of our Company.

Closing 项目关闭

The initial closing is expected to occur on or before December 31, 2017 and the closing date may be extended until January 31, 2018 (the “Closing Date”).

Maturity Date 到期日

January 31, 2021, which may be extended by one year in the sole discretion of the Company.

Redemption 赎回

From and after January 31, 2019, each note holder will have the right, upon one hundred and twenty (120) days prior written notice to the Company, to redeem all or part of the Notes at any time prior to the Maturity Date. The redemption price will be payable in cash in an amount equal to the outstanding principal amount subject to redemption, plus any accrued and unpaid interest thereon.

Interest Rate and Payment 利率和付款

Interest will accrue on the unpaid principal amount of the note (i) from the Closing Date until January 31, 2019 at a simple rate of six percent (6%) per annum, (ii) from February 1, 2019 until January 31, 2020 at a simple rate of eight percent (8%) per annum, and (iii) from February 1, 2020 until the Maturity Date at a simple rate per annum of ten percent (10%) per annum. All computations of the interest rate will be made based on a 360-day year of twelve 30-day months. Accrued, but unpaid, interest will be paid to the holder on February 1, 2019 and February 1, 2020 (or, if any such day is not a business day, the next succeeding business day) with the last payment of accrued, but unpaid, interest (along with the principal amount) being paid on the Maturity Date.

Transfer Restrictions 转移限制

The Notes have not been registered with the Securities and Exchange Commission under the Securities Act and are being offering in reliance upon exemptions under Rule 506 of Regulation D and Regulation S of the Securities Act, and rules and regulations hereunder.  The Notes have not been registered under the securities laws of any state and will be offered pursuant to an exemption from registration in each state.  An investor may transfer or dispose of the Note only if such Note is subsequently registered under the Securities Act, or if an exemption from registration is available, and pursuant to an opinion of counsel acceptable to the Company and its counsel to the effect that the Note may be transferred without violation of the registration requirements of the Securities Act or any other securities laws.
